These Terms apply to all users of our Services, including clients, website visitors, and users of our applications and platforms.

2. Description of Services

Technizoit provides comprehensive technology solutions including but not limited to:

  • Web application development and design
  • Mobile application development (iOS and Android)
  • Custom software development and consulting
  • UI/UX design and user experience optimization
  • MVP (Minimum Viable Product) development
  • IT consulting and strategic technology planning
  • Website development and maintenance
  • Dedicated development team services
  • AI and machine learning solutions

Service specifications, deliverables, and timelines will be detailed in separate project agreements or statements of work.

3. User Obligations and Conduct

Client Responsibilities

As a client or user of our Services, you agree to:

  • Provide accurate and complete information required for project delivery
  • Respond promptly to requests for feedback, approvals, and clarifications
  • Make timely payments according to agreed terms
  • Respect intellectual property rights of Technizoit and third parties
  • Use our Services only for lawful purposes
  • Maintain confidentiality of any proprietary information shared

Prohibited Activities

You may not use our Services to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Distribute malware, viruses, or harmful code
  • Engage in fraudulent or deceptive practices
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our Services

4. Intellectual Property Rights

Technizoit's Intellectual Property

All content, software, designs, and materials created by Technizoit remain our intellectual property unless otherwise specified in a written agreement. This includes:

  • Proprietary methodologies and frameworks
  • Template designs and code libraries
  • Tools and software developed by Technizoit
  • Brand elements, logos, and marketing materials

Client Intellectual Property

Upon full payment, clients receive ownership rights to custom work specifically created for their project, excluding Technizoit's pre-existing intellectual property and general methodologies.

License Grant

Technizoit grants clients a non-exclusive, non-transferable license to use delivered software and applications for their intended business purposes.

5. Payment Terms and Billing

Payment Schedule

Payment terms are specified in individual project agreements. Standard terms include:

  • 50% advance payment before project commencement
  • Remaining 50% upon project completion and delivery
  • For larger projects: milestone-based payments as agreed
  • Monthly payments for ongoing maintenance and support services

Late Payments

Late payments may result in:

  • Suspension of work until payment is received
  • Interest charges of 1.5% per month on overdue amounts
  • Potential termination of services for payments overdue by 30+ days

Refund Policy

Refunds are generally not provided for completed work. Specific refund terms will be outlined in project agreements based on project scope and deliverables.

6. Project Delivery and Timelines

Timeline Commitments

Project timelines are estimates based on project scope and client cooperation. Timelines may be affected by:

  • Changes in project requirements or scope
  • Delays in client feedback or approvals
  • Technical complexities discovered during development
  • Force majeure events beyond our control

Quality Assurance

All deliverables undergo rigorous testing and quality assurance before delivery. We provide:

  • Functional testing and bug fixes
  • Cross-browser and device compatibility testing
  • Performance optimization
  • Security vulnerability assessments

Support Period

Standard projects include 30 days of complimentary support for bug fixes and technical issues. Extended support and maintenance packages are available separately.

7. Confidentiality and Non-Disclosure

Technizoit commits to maintaining strict confidentiality of all client information, including:

  • Business strategies and proprietary information
  • Technical specifications and requirements
  • User data and analytics
  • Financial information and business metrics

This confidentiality obligation continues indefinitely, even after project completion or termination of services.

Portfolio and Case Studies

With client permission, Technizoit may showcase completed projects in portfolios and case studies, while maintaining confidentiality of sensitive business information.

8. Warranties and Disclaimers

Service Warranties

Technizoit warrants that services will be performed with professional skill and in accordance with industry standards. We guarantee that delivered software will function as specified in project documentation.

Disclaimers

Except as expressly stated, services are provided "as is" without warranties of any kind. We disclaim:

  • Warranties of merchantability or fitness for particular purpose
  • Guarantees of specific business outcomes or revenue
  • Responsibility for third-party integrations and services
  • Liability for market changes affecting project viability

9. Limitation of Liability

To the maximum extent permitted by law, Technizoit's total liability for any claims arising from or related to the Services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

In no event shall Technizoit be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss or corruption (clients are responsible for backups)
  • Business interruption or downtime
  • Third-party claims or actions

10. Indemnification

Clients agree to indemnify and hold Technizoit harmless from any claims, damages, or expenses arising from:

  • Client's use of delivered software or applications
  • Content provided by the client
  • Violation of these Terms by the client
  • Infringement of third-party rights by client-provided materials
  • Client's business operations or activities

11. Termination

Termination by Client

Clients may terminate projects with written notice. Termination terms include:

  • Payment for all work completed up to termination date
  • Delivery of work completed to termination point
  • No refund of advance payments for work already performed

Termination by Technizoit

Technizoit may terminate services for:

  • Non-payment after 30-day notice period
  • Material breach of Terms by client
  • Requests for illegal or unethical work
  • Abusive or inappropriate conduct toward team members

Effect of Termination

Upon termination, confidentiality obligations continue, and each party retains their respective intellectual property rights.

12. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of India, specifically the laws applicable in Mumbai, Maharashtra, without regard to conflict of law principles.

Dispute Resolution

Disputes will be resolved through the following process:

  • Direct Negotiation: Good faith discussions between parties
  • Mediation: Non-binding mediation if negotiation fails
  • Arbitration: Binding arbitration under Indian Arbitration laws
  • Jurisdiction: Courts of Mumbai, Maharashtra for any legal proceedings

13. Modifications to Terms

Technizoit reserves the right to modify these Terms at any time. Changes will be communicated through:

  • Email notifications to registered clients
  • Prominent notices on our website
  • Updated Terms posted on our website

Continued use of our Services after changes constitutes acceptance of the modified Terms. For ongoing projects, existing agreements remain valid unless explicitly modified.
